Site Access Agreement

Xionetic Technologies, Inc (Xionetic) grants you a limited license to access and make personal/business use of this site and not to download (other than page catching) or modify it, or any portion of it, except with express written consent of Xionetic. This license does not include any resale or commercial use of this site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this site or its contents; any downloading or copying of information for the benefit of another; or any use of data mining, robots, or similar data gathering and extraction tools. This site or any portion of this site may not be reproduced, duplicated, copied, sold, resold, visited, "spammed", "phished" or otherwise exploited for any commercial purpose without the express written consent of Xionetic Technologies, Inc. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout or form) without prior written consent. Any unauthorized use terminates the permission or license granted by Xionetic. You may not use the Xionetic logo or any Xionetic product logo or trademark without the prior written consent of Xionetic Technologies, Inc.

Termination

These terms are effective until terminated by either party. You may terminate these terms by destroying all materials obtained from any and all Xionetic websites/pages and all related documentation and all copies and installations thereof, whether made under these terms or otherwise. These terms will terminate immediately without notice from Xionetic Technologies, when at Xionetic's sole discretion you fail to comply with any term or provision of these terms. Examples of situations that would terminate your service include, but are not limited to, repeated fraudulent ads and reports of bad business practices. Upon termination, you must destroy all materials obtained from this site and any and all other Xionetic websites/pages and all copies thereof, whether made under the terms of these Terms or otherwise. If it has been verified through reputable information that an ad or seller, or parties a seller is affiliated with, have misrepresented themselves or a horse for sale they will be barred from the site. Refunds will not be made for any ads or photos removed by AgDirect.com. If you wish to challenge the termination you will be directed to fill out and submit a complaint form. If you wish to report someone you suspect of fraudulent business please see the complaint section in the FAQ's.

No Guarantee

Xionetic Technologies does not guarantee the sale of your horse, your horse's services, your products or services or any other product or service advertised on Agdirect’s site. Xionetic does not guarantee the owner/seller's services, representations, or any horse's performance or fitness for a particular purpose.

No Refund

Ads placed on AgDirect are non-refundable. If an error was made in payment contact AgDirect Support within 7 days from the purchase date to have the error corrected. If your photo is not showing correctly online contact AgDirect Support for assistance. If we are unable to remedy the problem we will either post a credit in your AgDirect account or refund your credit card. If your horse sells within the contracted time of the ad you will not be refunded for the unused time of the contract.

Member Conduct

Xionetic Technolgies, Inc shall have the right, but not the obligation, to monitor the content of the Web page service to determine compliance with this agreement and any other operating rules established by Xionetic. Xionetic Technologies, Inc shall have the right and the sole discretion to edit, refuse to post or remove any material submitted to or posted on the web pages. Without limiting the foregoing, Xionetic shall have the right to remove any material that Xionetic, at its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable. Notwithstanding this right of Xionetic, you remain solely responsible for the content of your messages, posting, communications, and claims. As a user of this Service you agree not to:

• upload, post, email, transmit or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
• harm minors in any way;
• impersonate any person or entity, including, but not limited to, a Xionetic official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;

• upload, post, email, transmit or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
• upload, post, email, transmit or otherwise make available any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;
• upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
• interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
• "stalk" or otherwise harass another; or
• collect or store personal data about other users.

Comments and Communications

You as well as other visitors may post reviews, comments, and other content and submit suggestion, ideas, questions, or other information so long as the content is not illegal, obscene, threatening, defamatory, invasive or private, infringing on property rights, or otherwise injurious to third parties or objectionable and does not contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam". If you do post content or submit material, unless Xionetic indicates otherwise, you grant Xionetic and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable, and fully sub licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and display such consent through any medium unless specified otherwise in Xionetic's Privacy Notice.
